Introduction
Welcome to www.noodle.space (the "Website"), operated by Max Gooding Ltd, a company registered in England and Wales ("Company", "we", "us", or "our"). These Terms and Conditions ("Terms", "Agreement") govern your access to and use of our Website and all related players, widgets, tools, apps, data, software, APIs and other services provided by Max Gooding Ltd in relation to noodle™(the "Services").
These Services include access to both digital software services available through subscriptions and physical products available for purchase. This comprehensive Agreement is designed to ensure a clear understanding of the rules and standards governing your use of our noodle™ Services.
Acceptance of Terms
By registering for, accessing, browsing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you should not use or access our Services. We may modify these Terms at any time without prior notice to you by posting revised Terms on our site. Your use of the Services following any such modification constitutes your agreement to follow and be bound by the Terms as modified.
1. Account Registration and Maintenance
1.1 Account Creation: To access certain features of the Services, you must register for an account. When registering, you agree to provide accurate, current, and complete information about yourself as prompted by our registration forms ("Account Data").
1.2 Account Responsibilities: You are responsible for maintaining the confidentiality of your password and account, if any, and are fully responsible for any and all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. No-one other than the registered account holder should be provided with access to the Services unless otherwise agreed in advance by way of Licence with Max Gooding Ltd & noodle™.
1.3 Data Integrity: The Company assumes no responsibility for the timeliness, deletion, misdelivery, or failure to store any user communications or personalization settings.
2. Subscriptions and Purchases
2.1 Course Services: Our digital products are offered primarily through one-off course and licence fees. These are billed in advance and licences must be renewed annually.
2.2 Physical Products: All physical products are sold as described on the Website. Descriptions and images of, and references to products do not imply our or any of our affiliates' endorsement of those products.
2.3 Payment Terms: Fees for courses, licences or physical products are billed in advance and are non-refundable, including for partially used periods.
2.4 Renewals and Cancellations: You may cancel your course at any time, which will be effective at the end of the current billing cycle. No refunds or credits for partial months or years.
2.5 Price Changes and Adjustments: We reserve the right to adjust pricing for our service or any components thereof in any manner and at any time as we may determine in our sole discretion. These will take effect upon renewal and not in the duration of a course.
3. Intellectual Property Rights
3.1 Ownership and Restrictions: All intellectual property in the Services, including software, text, video, graphics, and music, is owned by or licensed to Max Gooding Ltd. No material from the Services may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way unless authorised to do so by way of a licence issued by Max Gooding Ltd & noodle™.
4. Prohibited Conduct
4.1 Usage Restrictions: You agree not to engage in any of the following prohibited activities: (i) copying, distributing, or disclosing any part of the Services in any medium, including without limitation by any automated or non-automated “scraping”; (ii) using any automated system, including “robots,” “spiders,” “offline readers,” etc., to access the Services in a manner that sends more request messages to our servers than a human can reasonably produce in the same period by using a conventional online web browser.
4.2 Legal Compliance: You shall not use the Services for any unlawful purpose or in any manner inconsistent with these Terms, nor act fraudulently or maliciously, for example, by hacking into or inserting malicious code, including viruses, or harmful data, into the Services or any operating system.
5. Disclaimers and Limitations of Liability
5.1 Services "As Is": We provide the Services on an "as is" and "as available" basis. You therefore use the Services at your own risk.
5.2 No Warranties: We expressly disclaim any and all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
5.3 Liability Limitation: To the fullest extent permitted by law, neither Max Gooding Ltd nor its directors, employees, partners, suppliers, or affiliates will be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, and whether or not we have been informed of the possibility of such damage.
6. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.
7. Dispute Resolution
7.1 Informal Negotiations: To expedite resolution and reduce the cost of any dispute, controversy, or claim related to these Terms ("Dispute"), you and Max Gooding Ltd agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating any arbitration or court proceeding.
7.2 Arbitration: If you and Max Gooding Lrtd are unable to resolve a dispute through informal negotiations, all claims arising from use of the Services (except those disputes expressly excluded below) shall be finally and exclusively resolved by binding arbitration.
8. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide at least 30 days' notice before any new terms take effect. Continued use of our Services after any such changes shall constitute your consent to such changes.
